Day 1: Foundations of South African Takeover Regulation

Examine the Panel’s functions, mandate, jurisdiction and regulatory powers together with the role of the Takeover Special Committee.

Module 3: Key Concepts That Drive Regulation

Explore the definitions and concepts that determine whether and how transactions become regulated.

Module 4: Types of Affected Transactions

Analyse the principal transaction structures governed by South African takeover regulation.

Module 5: Planning and Structuring Transactions

Explore conditions, bank guarantees, firm intention announcements, circulars, dealings, offer timetables and implementation.

Module 6: Market Communications

Explore approaches, wall-crossing, announcements, cautionary announcements and related regulatory considerations.

Day 2: Completing the Transaction

Module 7: Hostile Takeovers and Frustrating Actions

Examine the legal and regulatory challenges surrounding hostile transactions and conduct during an offer.

Module 8: Boards, Independent Experts and Governance

Understand the responsibilities of independent boards, independent experts and directors during affected transactions.

Module 9: Exemptions, Enforcement and Future Reform

Understand exemptions, compliance, enforcement and sanctions while examining emerging questions and potential reforms in South African takeover regulation.

Andile Nikani

CEO, Arbitration Foundation of Southern Africa | Former Executive Head, Takeover Regulation Panel

Andile Nikani is an experienced corporate lawyer, regulator and dispute resolution practitioner with more than 25 years of legal and regulatory experience. As former Executive Head of South Africa’s Takeover Regulation Panel, he exercised extensive regulatory powers and was involved in significant and precedent-setting mergers, acquisitions and affected transactions.

His expertise spans takeover regulation, M&A, corporate governance, corporate strategy and regulatory compliance. He has also served as a visiting regulator with the UK Takeover Panel and Hong Kong Takeover Panel.

As presenter of the Advanced Programme on South African Takeover Regulations, Andile brings participants a rare combination of legal expertise, regulatory insight and first-hand experience in the practical application of South Africa’s takeover regulatory framework.

  • The course fee includes all course notes, lunches, refreshments and parking but excludes accommodation and travel costs.
  • In the case of insufficient applications, Andile Nikani reserves the right to cancel the course. In this event, applicants will be informed, and all fees will be refunded immediately.
  • The course is presented in English.
  • A written assignment and/or project is to be completed.
  • Attendees will receive a certificate of completion.
  • The Johannesburg course will take place at JSE One Exchange Square, 2 Gwen Lane, Sandown.
  • The Pretoria course will take place at Groenkloof Chambers - AFSA, Groenkloof Chambers, 205 Florence Ribiero Ave, Groenkloof Ext 11.
  • The Cape Town course will take place at AFSA offices - AFSA, 8th Floor, 38 Wale Street Chambers, 38 Wale Street, Cape Town.
  • Cancellations accepted up to 1 month prior to commencement of the course, but subject to a 10% administration fee. No refunds or cancellations will be allowed if cancelled less than two weeks before the date of commencement of the course. Replacement delegates are acceptable.
  • Delegates are required to be in attendance for course.
